Scope of Application

The Code of Conduct applies to all employees, directors, external and internal collaborators of UNIONES ARPOL S.A. (the "Company"). All must know and comply with this Code, reporting any violations to the Compliance Officer.

General Ethical Principles

  • Respect for People: Promote relationships based on respect and collaboration, prohibiting any form of discrimination or harassment.
  • Equality and Non-Discrimination: Promote equal opportunities, avoiding discrimination for any reason.
  • Occupational Hazard Prevention: Comply with safety and prevention measures in the workplace.
  • Work-Life Balance: Facilitate the balance between professional and personal life.
  • Environmental Protection: Comply with environmental regulations to minimize the impact of activities.

  • Regulatory Compliance: Act with integrity, honesty, and in accordance with laws and internal regulations.
  • Concurrent Activities: Prioritize duties within the Company and avoid external professional activities without authorization.
  • Professionalism and Responsibility: Perform duties diligently and make proper use of Company resources.

Guidelines for Specific Situations

  • Conflicts of Interest: Identify and report conflict of interest situations, abstaining from decisions that may personally benefit them.
  • Duty of Confidentiality: Maintain confidentiality of information and use it solely for professional purposes.
  • Supplier Relations: Ensure transparent selection processes and avoid personal benefits from suppliers.
  • Personal Data Protection: Respect the right to privacy and protect personal data according to data protection regulations.
  • Money Laundering Prevention: Comply with laws on money laundering and terrorist financing prevention.

Rules to Prevent Corrupt Conduct

  • Compliance with the Law: Total rejection of corruption and illegal conduct, always acting ethically.
  • Relation with Public Officials: Prohibited from offering payments or gifts to public officials to influence decisions.

Application and Compliance with the Code

The Board of Directors and the Compliance Officer will supervise compliance with the Code. A Whistleblowing Channel is available to confidentially report breaches. Non-compliance may result in corrective measures and sanctions according to current labor regulations.
